There has been a sharp uptick in the frequency of merger objection lawsuits in the past several years. These suits are now brought after virtually every major deal is announced. The Delaware Chancery Court as well as courts in other jurisdictions continue to develop the law governing these disputes, and, accordingly, insurance coverage issues continue to evolve. The webinar will present a hypothetical case, and overview of the law (based on Delaware) that applies to that hypothetical; the insurance claims that likely would be involved; the most recent statistics regarding both frequency and severity for these cases; the insurance coverages implicated; and the more significant coverage issues which have arisen.
