An unprecedented number of securities suits have been filed against Chinese companies listed on U.S. stock exchanges over the past eighteen months. The vast majority of the defendant companies in these suits gained their stock listings through a process called a “reverse merger.” A reverse merger refers to the process by which a foreign domiciled concern merges with a dormant U.S. public shell company, thereby providing the foreign concern with quick access to the public marketplace of investors. A number of Chinese reverse merger companies have been sued for allegedly misrepresenting their financial health, concealing related-parties transactions and engaging in suspect accounting practices. Many investors, in turn, have seen the value of their stock plummet.

The webinar will discuss the rising tide of Chinese reverse merger litigation and its implications for the D&O and E&O insurance programs of both the Chinese companies and their external auditors. The presenters will provide perspectives from both sides of the Pacific.
