The recent addition of provisions in certain provinces’ Securities Acts has created the ability of plaintiffs to file class actions for continuous disclosure obligations in connection with publicly traded securities. These statutory changes, coupled with recent Canadian decisions interpreting these new laws,  including Silver v. IMAX Corp., Green v. CIBC, and McKenna v. Gammon Gold, Inc., serve as a wake-up call for Canadian companies that trade on any Canadian or U.S. stock exchange.
