A member of the U.S.-Ukraine Business Council recently predicted that a resolution issued by the Ukrainian High Commercial Court may lead to that country’s secession from the U.N. Convention on the Recognition and Enforcement of Foreign Arbitral Awards (the “Convention”).  An arbitration award falls under the Convention if it arises out of a commercial relationship between citizens of signatory countries located on each side of a dispute or between citizens of the U.S. where there exists some reasonable connection with one or more foreign states.  The Convention requires signatory countries to recognize and enforce arbitration awards rendered in other signatory countries.  The report, which was based upon a reading of the text of the resolution, states that the Ukrainian court has adopted the view that non-Ukrainian choice of law provisions in certain contracts involving Ukrainian companies or international arbitration clauses should be deemed “null and void” and contravene the public policy of that country, a significant departure from the purpose of the Convention.
